As an expert in corporate and corporate matters, Santiago advises startups and other business entities on partner acquisition and exit processes, investment and divestment transactions in technology-based companies, due diligence reviews, valuation of intangible assets, and the creation of security interests. His practice also includes mergers and acquisitions (M&A) transactions, encompassing due diligence processes, non-binding offers (NBOs), share purchase agreements (SPAs), and shareholder agreements; as well as advice on and negotiation of loan agreements, both equity and convertible, and company formation. He also has experience in contractual matters and technology transfer transactions, in the drafting and negotiation of intellectual property and information and communications technology (IP/ICT) contracts, in judicial and extrajudicial claims, and in copyright matters.
