Biography

As an expert in corporate and business matters, Santiago advises startups and other business entities on the onboarding and exit of partners, investment and divestiture transactions in technology-based companies, due diligence reviews, the valuation of intangible assets, and the creation of security interests in such assets. His practice also includes mergers and acquisitions (M&A), covering due diligence processes, non-binding offers (NBOs), share purchase agreements (SPAs), and shareholders’ agreements; as well as advising on and negotiating loan agreements—both equity-linked and convertible—and the formation of companies.

He also has experience in contractual matters and technology transfer transactions, in drafting and negotiating intellectual property and information and communication technology (IP/ICT) contracts, in judicial and out-of-court claims, as well as in copyright matters.


Education

  • He holds a bachelor's degree in political science from the Complutense University of Madrid.
  • Practicing attorney since 2023.
  • Dual Master's Degree in Corporate Legal Consulting and Admission to the Bar at IE Law School (Instituto de Empresa).
